TERMS & CONDITIONS

Welcome to MAK-Online.

These Terms & Conditions (“Terms”) govern your access to and use of the MAK-Online website, mobile application and related digital platforms and services (collectively, the “Platform”).

The Platform is operated by:

(“MAK-Online”, “MAK”, “we”, “us” or “our”).

By accessing, registering for, placing an order through, selling through or otherwise using the Platform, you acknowledge that you have read and understood these Terms and agree to be bound by them together with any other applicable MAK-Online policies or agreements.

If you do not agree with these Terms, you should not use the Platform.

1. ABOUT MAK-ONLINE

MAK-Online provides a digital marketplace and food-delivery platform designed to connect customers with participating merchants, home chefs and food entrepreneurs.

Through the Platform, users may be able to:

  • Browse available merchants, home chefs, meals and products;

  • Place and manage orders;

  • Make electronic payments;

  • Arrange or receive delivery services;

  • Register and operate as a merchant or home chef;

  • Access merchant-related services;

  • Participate in promotions; and

  • Access other services made available by MAK-Online from time to time.

Specific features may vary depending on location, merchant availability, delivery availability and Platform functionality.

2. ELIGIBILITY AND REGISTRATION

Users must provide accurate and complete information when registering for or using the Platform.

Merchants must:

  • Be at least 18 years old;

  • Be legally permitted to prepare and sell food;

  • Comply with applicable Malaysian laws and local authority requirements;

  • Provide valid identification and banking information;

  • Provide applicable business or food-handling documentation; and

  • Complete MAK-Online's applicable verification and onboarding requirements.

MAK-Online may verify information or documentation submitted during registration before activating a merchant account.

3. USER ACCOUNTS

Where an account is required, you are responsible for:

  • Providing accurate registration information;

  • Maintaining accurate and current account information;

  • Maintaining the confidentiality of your account credentials;

  • Restricting unauthorised access to your account; and

  • Activities carried out through your account where reasonably attributable to your use or credentials.

You should notify MAK-Online promptly if you become aware of suspected unauthorised access to or misuse of your account.

MAK-Online may suspend or restrict an account where reasonably necessary to investigate suspected fraud, misuse, security concerns or violations of these Terms or other applicable Platform policies.

4. ORDERS

Orders placed through MAK-Online are subject to merchant acceptance and product availability.

The normal order process may include:

  1. Order received;

  2. Order accepted;

  3. Order prepared;

  4. Order packed;

  5. Order collected;

  6. Order delivered; and

  7. Order completed.

Merchants are expected to accept orders promptly, maintain reasonable preparation times and notify MAK-Online where an order cannot be fulfilled.

Customers are responsible for reviewing their order information before confirmation, including selected products, quantities and delivery information.

5. PRODUCT AND MENU INFORMATION

Merchants are responsible for maintaining accurate information relating to their products and menus, including:

  • Product or meal descriptions;

  • Prices;

  • Availability;

  • Relevant menu information; and

  • Temporary closures or unavailable items.

Merchants should promptly update or notify MAK-Online when products become unavailable.

While MAK-Online facilitates the display of merchant information, merchants remain responsible for the accuracy of their product descriptions and other merchant-provided information.

6. FOOD QUALITY AND SAFETY

Merchants and home chefs are responsible for maintaining appropriate food quality, hygiene and safety standards.

Merchants are expected to:

  • Use appropriate and fresh ingredients;

  • Prepare food hygienically;

  • Maintain kitchen cleanliness;

  • Prevent cross-contamination;

  • Store food at appropriate temperatures;

  • Dispose of expired ingredients;

  • Use appropriate food-handling attire;

  • Label allergens where applicable;

  • Ensure food supplied is safe for consumption; and

  • Comply with applicable Malaysian food regulations and requirements.

MAK-Online may suspend or terminate a merchant that fails to comply with applicable food-safety standards or Platform requirements.

7. ALLERGENS AND DIETARY INFORMATION

Where applicable, merchants should provide relevant allergen information regarding their products.

Customers with allergies, food intolerances or specific dietary requirements should carefully review available product information and make appropriate enquiries before ordering.

Because food is prepared by independent merchants or home chefs, customers should exercise appropriate care when ordering products where allergies or dietary restrictions are relevant.

8. PRICES AND CHARGES

Prices displayed through the Platform are generally based on information provided or maintained by participating merchants.

An order may include applicable charges such as:

  • Product price;

  • Delivery charges;

  • Platform or service fees, where applicable;

  • Payment-related charges, where applicable;

  • Taxes, where applicable; and

  • Other charges clearly disclosed in connection with the transaction.

Customers should review the total amount displayed before confirming payment.

9. PAYMENTS

Electronic payments may be processed through approved payment gateways or other payment service providers.

Payment processing may therefore also be subject to the applicable payment provider's terms and operational requirements.

For merchant transactions, MAK-Online may deduct applicable commissions, transaction fees, promotional contributions or other agreed service fees before settlement where provided under the applicable Merchant Agreement.

Merchant electronic statements may include information such as:

  • Gross sales;

  • Commission;

  • Taxes;

  • Refunds;

  • Promotional subsidies; and

  • Net amounts payable.

Specific merchant commission rates, settlement periods and other commercial arrangements will be governed by the applicable Merchant Agreement or other agreement between MAK-Online and the merchant.

10. DELIVERY

Where delivery is arranged through MAK-Online, MAK may assign a delivery partner to collect and deliver the order.

Merchants are responsible for ensuring that food is appropriately and securely packaged before collection.

Delivery partners are expected to:

  • Handle food carefully;

  • Use appropriate delivery equipment;

  • Follow applicable delivery targets;

  • Act professionally; and

  • Protect customer information.

Where a merchant provides self-delivery, the merchant is responsible for the delivery in accordance with the applicable merchant arrangements.

Delivery times may vary due to preparation times, traffic, weather, delivery-partner availability and other circumstances.

11. DELIVERY INFORMATION

Customers are responsible for providing accurate delivery information, including the correct address and relevant contact details.

Customers should also be reasonably available to receive an order.

Incorrect, incomplete or inaccessible delivery information may affect successful completion of delivery.

Where delivery cannot be completed because of inaccurate customer information or customer unavailability, any resulting cancellation or refund request may be reviewed according to the circumstances.

12. CANCELLATIONS

Order cancellation is subject to the status of the order and the applicable MAK-Online Cancellation Policy.

Customers should submit cancellation requests as soon as possible.

Once an order has been accepted and preparation has commenced, cancellation may no longer be possible.

Merchants are expected to minimise cancellations and promptly notify MAK-Online if an accepted order cannot be fulfilled.

Cancellation of an order does not automatically guarantee a refund.

13. REFUNDS

Refund requests are governed by the applicable MAK-Online Refund Policy.

Refunds may be considered in circumstances including:

  • Wrong items or orders;

  • Missing items;

  • Food quality issues;

  • Food safety issues;

  • Non-delivery; and

  • Duplicate payments.

Refund requests may be investigated before approval.

Responsibility for a refund may be determined after MAK-Online reviews information relating to the customer, merchant, delivery partner, payment provider and relevant Platform records.

14. CUSTOMER RESPONSIBILITIES

Customers using MAK-Online agree to:

  • Provide accurate account and contact information;

  • Provide accurate delivery information;

  • Use the Platform only for lawful purposes;

  • Make legitimate orders and payments;

  • Treat merchants, delivery partners and MAK-Online representatives respectfully;

  • Avoid fraudulent or abusive refund or cancellation requests;

  • Avoid interfering with Platform operation or security; and

  • Comply with these Terms and applicable Malaysian laws.

15. MERCHANT RESPONSIBILITIES

Merchants and home chefs must comply with their applicable Merchant Agreement and MAK-Online policies.

Merchant responsibilities include:

  • Maintaining all necessary licences and approvals;

  • Complying with Malaysian laws and regulations;

  • Maintaining appropriate food quality and safety;

  • Keeping menu information and prices accurate;

  • Maintaining sufficient inventory;

  • Preparing orders promptly;

  • Packaging food appropriately;

  • Honouring confirmed orders;

  • Protecting customer information;

  • Avoiding prohibited products;

  • Maintaining professional conduct; and

  • Complying with MAK-Online's operational standards.

Where there is a separate Merchant Agreement between MAK-Online and a merchant, that agreement will govern the merchant relationship in addition to these general Terms.

16. MERCHANT PERFORMANCE

MAK-Online may monitor merchant performance based on factors including:

  • Order acceptance rate;

  • Order completion rate;

  • Customer ratings;

  • Food quality;

  • Preparation time; and

  • Complaint frequency.

Consistently poor performance or serious violations may result in warnings, temporary suspension, permanent account termination or other appropriate action.

17. CUSTOMER DATA AND CONFIDENTIALITY

Customer information provided to merchants or delivery partners must be treated as confidential.

Merchants may use customer information only for legitimate order fulfilment and may not use customer information for unauthorised direct marketing.

Delivery partners should use customer information only as reasonably required to complete delivery and related authorised activities.

Misuse of customer information may result in suspension, termination or other appropriate action.

18. PRIVACY AND PERSONAL DATA

MAK-Online is committed to protecting personal data and handling it in accordance with applicable Malaysian data protection requirements.

Personal data may be collected and processed for purposes including:

  • Account management;

  • Merchant verification;

  • Order fulfilment;

  • Payment processing;

  • Delivery coordination;

  • Customer support;

  • Fraud prevention;

  • Platform security;

  • Business operations; and

  • Compliance with applicable laws.

19. PROHIBITED PRODUCTS

Merchants must not offer or sell products prohibited by MAK-Online or Malaysian law.

Prohibited products include:

  • Illegal products;

  • Counterfeit goods;

  • Expired food;

  • Controlled substances; and

  • Other products prohibited under applicable Malaysian law.

MAK-Online may remove prohibited listings and suspend or terminate accounts involved in prohibited activities.

20. PROHIBITED CONDUCT

Users must not use the Platform to engage in:

  • Fraudulent transactions;

  • Fake reviews or ratings;

  • Offensive or abusive behaviour;

  • Misuse of customer information;

  • Intellectual property infringement;

  • Illegal activities;

  • Harassment or discrimination;

  • Unauthorised interference with the Platform; or

  • Conduct that materially damages the integrity or reputation of MAK-Online.

Violations may result in warnings, suspension, account termination or legal action where appropriate.

21. REVIEWS, RATINGS AND FEEDBACK

Where the Platform allows customers to provide ratings, reviews or feedback, such submissions should be genuine and based on legitimate experiences.

Users must not manipulate ratings or submit fake or fraudulent reviews.

MAK-Online may take appropriate action regarding content or activity that violates Platform policies or applicable law.

22. INTELLECTUAL PROPERTY

The MAK name, MAK-Online branding, logos, software, Platform content and related intellectual property belonging to MAK remain the property of I VIEW DIGITAL INNOVATION SDN BHD, except where otherwise indicated.

Users may not copy, reproduce, distribute, modify, commercially exploit or otherwise misuse MAK-Online intellectual property without appropriate authorisation.

Merchants retain ownership of their original intellectual property, including their recipes, menus, logos, product photographs and original promotional materials, as applicable.

By participating on the Platform, merchants grant MAK the rights provided under the applicable Merchant Agreement to use relevant business names, logos, menus, product photographs and promotional materials for operating and promoting the MAK Platform.

23. THIRD-PARTY SERVICES

The Platform may rely on third-party services such as:

  • Payment gateways;

  • Delivery providers;

  • Cloud or technology providers; and

  • Other operational service providers.

These third parties may operate under their own terms, policies and service conditions.

MAK-Online is not responsible for the independent terms or policies adopted by third-party providers.

24. PROMOTIONS

MAK-Online may conduct marketing campaigns and promotions from time to time.

Additional terms may apply to individual campaigns, discounts, promotional codes or offers.

Where a promotion is funded by a merchant, the merchant's prior approval will be required where provided under the applicable Merchant Agreement unless otherwise agreed in writing.

Promotions should not be misleading and remain subject to applicable Malaysian laws and MAK-Online marketing requirements.

25. PLATFORM AVAILABILITY

MAK-Online aims to provide reliable Platform services but does not guarantee uninterrupted or error-free availability.

The Platform may occasionally be affected by:

  • Maintenance;

  • Technical failures;

  • Internet outages;

  • Third-party service interruptions;

  • Security incidents;

  • System upgrades;

  • Emergencies; or

  • Circumstances beyond MAK-Online's reasonable control.

Where practicable, MAK-Online will take reasonable steps to restore affected services and protect transaction records.

26. ROLE OF MAK-ONLINE

MAK-Online operates as a technology platform connecting customers with participating merchants and facilitating related ordering and delivery services.

Merchants remain responsible for matters including:

  • Product quality;

  • Food safety;

  • Licensing;

  • Legal compliance;

  • Product descriptions; and

  • Packaging.

Nothing in these Terms removes responsibilities that applicable law places directly on MAK-Online, merchants, customers, delivery partners or other parties.

27. LIMITATION OF RESPONSIBILITY

To the extent permitted by applicable law, responsibility for issues arising from merchant products, food preparation, food safety, product descriptions, merchant licensing and merchant regulatory compliance remains with the relevant merchant as provided under the applicable Merchant Agreement.

MAK-Online will nevertheless administer Platform-related complaints, refunds and other matters in accordance with its applicable policies and legal obligations.

Nothing in these Terms is intended to exclude or restrict liability where such liability cannot lawfully be excluded or restricted under Malaysian law.

28. INDEMNITY FOR MERCHANTS

Under the applicable Merchant Agreement, merchants are responsible for claims, losses, damages, liabilities or legal costs arising from matters including:

  • Breach of the Merchant Agreement;

  • Food contamination;

  • Merchant negligence;

  • Regulatory violations; and

  • Intellectual property infringement.

The detailed indemnification obligations applicable to an individual merchant are governed by the Merchant Agreement entered into with MAK-Online.

29. SUSPENSION AND TERMINATION

MAK-Online may issue a warning, temporarily suspend or permanently terminate access where a user or merchant violates applicable Platform requirements.

For merchants, immediate suspension or termination may occur in circumstances including:

  • Fraud;

  • Violation of applicable law;

  • Repeated failure to meet service standards;

  • Sale of prohibited products; or

  • Conduct that damages the reputation of MAK.

Merchant termination rights and notice requirements are further governed by the applicable Merchant Agreement.

30. FORCE MAJEURE

Neither MAK nor an applicable merchant will be responsible, to the extent provided under applicable agreements and law, for failure to perform obligations caused by events beyond reasonable control.

Such events may include:

  • Natural disasters;

  • Government actions;

  • Pandemics;

  • Strikes;

  • Major internet outages; and

  • Other events beyond reasonable control.

31. CHANGES TO THESE TERMS

MAK-Online may periodically review and amend these Terms to reflect changes in:

  • Platform functionality;

  • Business operations;

  • Applicable laws and regulations;

  • Payment or delivery arrangements; or

  • MAK-Online policies and procedures.

Updated Terms may be published through the MAK-Online Platform with a revised “Last Updated” date.

Where appropriate or legally required, MAK-Online may provide additional notice regarding material changes.

Continued use of the Platform following applicable updates will be subject to the updated Terms, to the extent permitted by law.

32. GOVERNING LAW AND JURISDICTION

These Terms are governed by the laws of Malaysia.

Where a dispute arises, the parties should first attempt to resolve the matter amicably.

Where a dispute cannot be resolved amicably, it will be subject to the jurisdiction of the Courts of Malaysia, subject to applicable Malaysian law.

33. SEVERABILITY

If any provision of these Terms is determined by a competent authority to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

35. ACCEPTANCE OF TERMS

By registering for, accessing or using MAK-Online, you acknowledge that you have read and understood these Terms & Conditions and agree to comply with them together with the applicable MAK-Online policies and agreements.

These may include, where applicable:

  • Privacy Policy;

  • Refund Policy;

  • Cancellation Policy;

  • Merchant Agreement; and

  • Other Platform-specific policies communicated by MAK-Online.
